realTech AG and IMPRESS SOFTWARE form a strategic partnership - IMPRESS AG will provide the Internet connectivity applications for SAP R/3; realTech will provide the technical expertise and consulting services




Walldorf/Hanover, March 27, 2000. Walldorf-based realTech AG and Hanover-based IMPRESS SOFTWARE AG have signed a strategic partnership that will enable them to jointly integrate SAP R/3 systems with the Internet. realTech's technical expertise and Internet-based implementation knowledge is the perfect extension to IMPRESS' successful front-end solution for R/3, IMPRESS/OIS.



The partnership will enable realTech to expand its Internet and eCommerce activities. realTech provides consulting and support services before a project even starts all through to its completion: from the creation of the implementation concept to the successful realization of the technical aspects, realTech's consultants ensure that the implemented functionality runs smoothly and to the customer's satisfaction. As part of the service offered, realTech helps its customers select the appropriate software and hardware, and develops Internet application add-ons.



IMPRESS SOFTWARE AG has made its name as an Internet technology solutions provider with its front-end solution IMPRESS/OIS. This modular server system forms an intermediate layer between the SAP R/3 system and the Internet, and provides a selection of Internet applications for customer-specific solutions that require a high level of security and availability.



For Guido Schneider, eServices manager at realTech, the companies optimally complement each other's competencies. "I was particularly impressed by IMPRESS/OIS' Java front-end, because it shortens the response times on the Internet considerably. The Interchange module, which enables you to connect to externally stored data is also quite impressive. In the age of mySAP.com, the ability to integrate hybrid systems is a key success factor." Joint ventures and acquisitions extend the product and service offerings – Company to invest primarily in eCommerce business solutions – Revenue target of 100 million Deutsche Mark set for the year 2000




Walldorf/Mannheim/Frankfurt am Main, March 31, 2000. realTech AG, the Walldorf-based company that specializes in technical R/3 consulting services and the development of eCommerce and Enterprise Resource Management (ERM) software solutions, achieved a consolidated revenue of DM 56.5 million for 1999, the first year of business following its initial public offering (IPO) in April of the same year. Compared to the DM 33.7 million in revenue that the company achieved in 1998, 1999 revenue increased by 67.7 percent. In-house developed software sales showed the highest revenue growth, and SAP R/3 consulting services showed the largest contribution to revenue. realTech AG's international subsidiaries accounted for approximately half of the consolidated revenue. These figures were announced in Walldorf earlier today by realTech AG's CFO Daniele Di Croce. realTech AG is listed on the Neuer Markt stock exchange in Frankfurt, Germany.



The fiscal year's earnings before interest and taxes (EBIT) increased by 42 percent to DM 7.762 million, compared with last year's DM 5.482 million. Annual net profit increased by 159 percent to DM 4.206 million, compared with DM 1.624 million in 1998. The German and European subsidiaries highly contributed to the increase in earnings. At the end of the fiscal year, the company's equity ratio was 61 percent. This provides the company with a strong foundation for further growth.



Investing in Growth

In 1999, DM 25.8 million were invested in tangible fixed assets and acquisitions to strengthen and extended the company's base. The investments were financed from the liquid assets acquired during the IPO. Considering the increasing importance of eCommerce solutions, investments in the second half of 1999 were primarily made in the ASP, Linux, mySAP.com and eCommerce marketplaces.



Joint Ventures and Acquisitions

In tune with our growth strategy and our plans to expand our database, network management, eBusiness and Internet expertise, we either invested in or fully acquired several specialized software firms. In 1999, realTech founded IT-GO!, a company that fulfills mid-size companies' increasing demand for ERP systems. IT-GO! provides outsourcing services and runs entire SAP R/3 computer centers, which enables mid-size companies to use SAP's R/3 software without having to run their own computer centers. IT-GO! received the SAP Outsourcing Partner certificate within the first 5 months of its founding.



In July 1999, realTech acquired the rights to the Interface Management software IM/3 from Hewlett-Packard. With IM/3, standard interfaces are created between SAP R/3 and third party systems. In August 1999, realTech acquired DB-Online GmbH, a 34-person Mannheim-based company that provides solutions for fast, secure and efficient relational database handling. DB-Online provides innovative and high-performance solutions in response to the increasing demand for system administration and relational database development tools.



In September 1999, a 51 percent investment in the Internet-based workflow-solution company GloBE technology GmbH enabled realTech to extend its Internet, Intranet and eCommerce service offerings. In October 1999, realTech acquired LMC GmbH, which gave realTech access to LMC's new network management system CINeMa that was designed specifically for hybrid network environments.



Development of International Subsidiaries

During 1999, the slow-down in business that was caused by the Y2K bug had a negative impact on the development of realTech's international subsidiaries in the United States, Singapore and England. Despite the slow-down, however, the international subsidiaries developed above-average. Together, they achieved an overall growth rate of 61.8 percent, which equates to a 50 percent contribution to the consolidated revenue. New Branch Offices and Subsidiaries realTech also extended its geographic presence during fiscal year 1999. The Madrid office, which was opened in April, recorded a profit in its second half-year of business. In June and July, realTech opened branch offices in Hamburg and Munich.



Perspectives for the Year 2000

The Walldorf-based company also set the stage for further growth, and expects fiscal year 2000 revenue to exceed the 100 million Deutsche Mark threshold. This expectation is based on the company's plans for further organic growth and additional acquisitions. A larger acquisition is already planned for the new fiscal year. Streamlined business processes and a revised cost structure will enable the company to increase its net profit, and by combining all of the software products into one product, the company will be able to decrease its system management and administration costs and increase the software portion of revenue. realTech AG will concentrate on expanding its presence in the eCommerce and Internet business solutions marketplace by focusing on the most promising market segments. The company will focus on implementing and hosting marketplaces.



Further Education for Employees – The realTech Academy

On December 31, 1999 the company employed 369 people worldwide (at the end of 1998, the company employed 181 people). In January 2000, the realTech Academy became operational. A company-internal training center, the realTech Academy will offer a traditional trainee program that will enable new employees to acquire sound technical knowledge, and serve as an education center where all of the employees can attend advanced courses to increase their knowledge in the areas of project management or rhetoric.

realTech and InterClubNet develop Internet marketplace for "kickers"



Soccer clubs will soon be able to transfer their players via the web - realTech AG will develop and host the marketplace and make a 10% investment in the site owner, InterClubNet Ltd.




Walldorf/Camberley, March 29, 2000. By the end of May, realTech AG and InterClubNet Ltd. will be offering a virtual marketplace to soccer clubs that will enable them to transfer their players worldwide. This was announced by both partners today in London. To date, 60 clubs have signed the agreement, and the number is expected to increase to 80 to 100 clubs by the time the project starts. Top European soccer clubs such as Manchester United, Paris St. Germain, Inter and AC Milan, AS Monaco and Herta BSC Berlin, as well as Brazil's entire First Division were among the first to sign the agreement. The market potential is estimated to be as high as the more than 2000 soccer clubs around the globe.



"InterClub will definitely change the way soccer clubs do business," says Bob Morton, Managing Director of InterClubNet. "It will be easy for the decision makers to directly and safely communicate with each other in their native language. They will benefit from the information that is provided, which is not only accurate but also matches their specific requirements."



realTech AG will host the InterClub marketplace and provide the support and maintenance for the next three years. realTech also developed the software. In addition, the Walldorf-based company is making a 10% investment in the English Internet start-up.

"The software that we developed for InterClub can easily be ported to other types of sports marketplaces."

Innovative consulting company convinces jury thanks to excellent growth and the creation of 115 new jobs




Frankfurt am Main/Walldorf, January 31st, 2000 --- The founding members of the IT consulting firm realTech AG of Walldorf, Markus Adam, Daniele Di Croce, Rainer Schmidt, and Peter Stier were honored with the award "Founder of the Year 2000" by the VNR Verlag für die Deutsche Wirtschaft AG of Bonn (Publisher for the German Economy). The award that is presented by the publisher’s business magazine "Die Gruendungsberater" (Advisor for Founders) honors the initiative and innovative success of company founders who give the German economy a boost. The board of directors at realTech was recognized for the exceptional service of establishing an innovative company that has created new jobs. The award includes 10,000 DM in prize money.



The award "Founder of the Year" is presented based on the criteria of targeted growth, the number of jobs created, and the innovative and development potential of the new company. The official presentation of the award will take place at a convention for entrepreneurs called "Start" that runs from March 10th to March 12th, 2000 in Nuremberg. The award will be presented on the evening of the first day as part of the opening ceremony. The keynote address will be about company founders in Germany and will be presented by A.D. Prof. Dr. Heinz Riesenhuber, Federal Research Minister.

The award "Founder of the Year" will be awarded this year for the twelfth time. Founders of 80 companies applied for the award in 2000. These companies were all founded in Germany between 1993 and 1997. A jury of 13 selected the founders of realTech AG from this group as the winner of the first place award. Special consideration was given to realTech, because the company created 115 new jobs in Germany in the past year, the equivalent of a 135 percent increase.

Connecting E-Business solution HighCommerce to R/3 Systems - Quicker and securer access to E-Business for R/3 users




Walldorf/Baden, Stuttgart, January 19th, 2000. realTech AG, specialist for technical SAP R/3 consulting and Heiler Software AG will provide a R/3 connection to Heiler’s E-Business solution HighCommerce. The main responsibility here is the continuing development and adaptation of interfaces that bring customers, suppliers and business partners together in a web-based platform. realTech thus adapts the HC Business Link interface for SAP R/3 to meet the specific needs of the users. The customers can thus profit from the know-how realTech has acquired from integrating R/3 Systems with Internet applications.



realTech advises and supports the customers beginning with the first concept for Internet business, ensures the technical implementation of the project, and then ensures problem-free use of the applications. The selection of the right software and hardware is part of the services provided as is the expansion of E-Business systems.



According to realTech's manager of eServices, Guido Schneider, many things speak for the partnership with Heiler Software, in addition to the flexibility of HighCommerce: "the high level of standardization and the expandability of HighCommerce offer great advantages when connecting this solution to complex enterprise systems." The open and flexible architecture that is necessary for this connection is ensured in HighCommerce by consistently applying component technologies. According to Mr. Schneider, it simplifies the individual adaptations and industry-specific enhancements for R/3 customers.



"HighCommerce is the front-office solution for SAP R/3 customers. HighCommerce allows for flexible setup and the processing of business procedures with interested parties, customers, business partners, and suppliers via the Internet.
